      Terms of Service

      NADA Build is a commercial product that funds an open language standard. These terms set out what you can do with the IDE, the free plugins, and the AI.

      Summary: the plugins and every language are free forever; the engine and plugins are open source; the IDE app is licensed to you by us; your code stays yours; the AI is a paid service, or bring your own key from another provider; and you can cancel anytime. The full terms are below and govern if the two disagree.

      These Terms of Service (the “Terms”) are a binding agreement between you and NADA Build, run by Chris Shelley and Rev Miller, a for-profit entity pending (“NADA Build,” “we,” “us,” or “our”), the company behind nada.build, the NADA Build IDE, the free editor plugins for VS Code, Cursor, Windsurf, VSCodium, Trae, Eclipse Theia, and Positron, and NADA Build AI (together, the “Services”). By downloading, installing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

      1. The agreement

      These Terms, together with our Privacy Policy and any plan-specific terms shown at checkout, are the entire agreement between you and us regarding the Services. If you use the Services on behalf of an organisation (for example a school, bootcamp, company, or ministry), you represent that you have authority to bind that organisation, and “you” means both you and that organisation.

      You must be old enough to form a binding contract where you live to open a paid account. Where a younger learner uses NADA Build through a school or guardian, the supervising adult or institution accepts these Terms on their behalf. Specific age and consent rules are [TO CONFIRM: minimum age / parental-consent policy for learners].

      2. Your account

      The free plugins and core editor need no account and no card. You create an account only when you start a paid plan or use account-bound features. When you do, you agree to give accurate information, keep your credentials secure, and take responsibility for everything that happens under your account. Tell us promptly if you suspect unauthorised use.

      You are responsible for your own devices, network, and any third-party editor you run our plugin inside. Use one personal account per person; do not share a single personal login across a team. For groups, see our Schools & teams plan.

      3. Licence to use the IDE & plugins

      Subject to these Terms and to your plan, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download and use the NADA Build IDE application and the editor plugins for your own coding and learning, including in a commercial setting, for as long as these Terms are in effect.

      The NADA Build IDE application is proprietary software. Except where a portion is offered under an open-source licence (see section 4), or where the law forbids us from restricting you, you agree not to:

      • copy, resell, rent, lease, or commercially redistribute the IDE application itself;
      • reverse-engineer, decompile, or disassemble the proprietary parts of the IDE, or try to derive their source;
      • remove or obscure any proprietary notice, the NADA mark, or the conformance mark;
      • circumvent licensing, metering, usage caps, or access controls; or
      • use the Services to build a competing product by copying our proprietary code or design.

      This licence covers use of the software, not a sale of it. We (and our licensors) keep all rights not expressly granted here. The code you write with NADA Build is governed separately by section 9.

      4. Open-source components

      NADA is a commercial product built on an open standard. The NADA engine and the editor plugins are released as open source under the Mozilla Public License 2.0 (MPL-2.0) [TO CONFIRM: confirm MPL-2.0 vs. AGPL for the engine/pipeline, and the exact list of open vs. proprietary modules]. Your use of those components as open source is governed by their own licence, which travels with the source, not by these Terms. Where the open-source licence and these Terms conflict for those components, the open-source licence controls.

      The IDE application, the hosted NADA Build AI service, our brand assets, and the “NADA” name and conformance mark are not open source; they are the commercial layer that funds the open standard. Open language data published by the project is shared under its own open data licence at nadalang.org. The authoritative, machine-readable licence for each component ships with that component and prevails over any summary on this page.

      5. Acceptable use

      You agree to use the Services lawfully. You agree not to use the Services to:

      • break the law, or help anyone else break it;
      • infringe someone’s intellectual property, privacy, or other rights;
      • build, distribute, or operate malware, spyware, or anything designed to harm people or systems;
      • attack, overload, probe, or disrupt the Services or the infrastructure behind them, or get around rate limits, usage caps, or security;
      • scrape, resell, or redistribute our outputs or models at scale, or use them to train a competing model;
      • generate or distribute content that is hateful, harassing, exploitative of minors, or otherwise abusive; or
      • impersonate others or misrepresent your affiliation with us.

      We may set reasonable technical limits to keep the Services reliable and fair, and we may investigate and act on suspected violations, including by removing content or suspending access (see section 14).

      6. NADA Build AI

      NADA Build AI reads and writes code in your human language. Like all AI, it can be wrong, incomplete, or out of date; it produces suggestions, not guarantees. You are responsible for reviewing, testing, and deciding whether to use anything it generates, especially before using it in production or relying on it for anything important. NADA writes back in your language so you can read what it did.

      On paid plans, AI usage may be metered and is subject to reasonable safeguards, rate limits, and abuse detection. How prompts and outputs are handled is described in our Privacy Policy.

      7. Plans, billing & cancellation

      The plugins, all 156+ human languages, writing and running real code, and much of the learn path are free forever. The AI is the paid part: subscribe, or bring your own key from another AI provider. The current plans are:

      • Free forever: the IDE, the plugins for VS Code, Cursor, Windsurf, VSCodium, Trae, Eclipse Theia, and Positron, and all 156+ human languages. No account, no card.
      • Paid AI plans add NADA Build AI, starting at $4.99/month, or bring your own key from another provider. The current tiers and inclusions are shown on the pricing page.
      • Schools & teams: custom. No per-seat charge for students, your curriculum in the app, and local-language onboarding. Talk to us.

      Prices are listed in US dollars unless stated otherwise. Current prices and inclusions are shown on the pricing page; the price you see at checkout is the price that applies to you.

      Billing. Paid plans renew automatically each billing period until cancelled. By subscribing, you authorise us and our payment processor [TO CONFIRM: payment processor, e.g. Stripe] to charge your payment method on each renewal at the then-current price. Taxes may apply on top of the listed price depending on your location. If a charge fails, we may retry or suspend paid features until it clears.

      Cancellation. You can cancel anytime. When you cancel, your paid plan stays active until the end of the period you have already paid for, then reverts to Free; you keep the plugins and every language. We do not charge a cancellation fee.

      Refunds. We offer a 30-day refund on paid plans: contact us within 30 days of your first charge for a refund. After that, payments are non-refundable except where the law requires otherwise. [TO CONFIRM: exact refund mechanics and any per-region statutory rights].

      Price changes. We may change prices or what a plan includes. If a change affects your active subscription, we will give reasonable advance notice, and the new price takes effect on your next renewal. You can cancel before it applies.

      8. Intellectual property

      The Services, including the IDE application, NADA Build AI, the website, our designs, text, graphics, logos, and the “NADA” name, trademark, and conformance mark, are owned by us or our licensors and are protected by intellectual-property law. The conformance mark may be used only as the project’s policy allows. Except for the limited licence in section 3 and the rights granted by the open-source licences in section 4, nothing in these Terms transfers any intellectual-property right to you.

      If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them to improve the Services, with no obligation to you. You are never required to send feedback.

      9. Your code & your content

      Your code is yours. NADA Build does not take ownership of the projects, files, or content you create, upload, or run. Your code on disk stays plain, real source: NADA shows the words in your language while you read and write, but the program underneath is unchanged and portable. As between you and us, you keep all rights to your content.

      You grant us only the limited licence we need to operate the Services for you, for example to process a file you ask NADA Build AI to explain or transform, or to store what your plan requires. You are responsible for your content and for having the rights to use it. What we retain is set out in our Privacy Policy.

      10. Third-party editors & services

      Our plugins run inside third-party editors (VS Code, Cursor, Windsurf, VSCodium, Trae, Eclipse Theia, and Positron), and the Services may rely on third-party infrastructure and AI providers. Those products are governed by their terms, not ours, and we do not control them. Marketplace listings and download links are provided for convenience; your use of any third-party product is between you and that provider.       11. Disclaimers & no warranty

      The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

      We do not warrant that the Services will be uninterrupted, error-free, secure, or that AI output will be accurate, complete, or suitable for your purposes. You are responsible for backing up your work and for reviewing and testing anything you build with the Services before relying on it. Some jurisdictions don’t allow certain warranty exclusions, so some of the above may not apply to you.

      12. Limitation of liability

      To the fullest extent permitted by law, NADA Build and its founders, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services, even if we have been advised that such damages are possible.

      To the fullest extent permitted by law, our total liability for all claims relating to the Services is limited to the greater of (a) the amount you paid us for the Services in the 12 months before the claim, or (b) USD $100 [TO CONFIRM: liability cap amount and form with counsel]. Some jurisdictions don’t allow these limits, so they may not fully apply to you; in that case our liability is limited to the smallest amount the law allows.

      13. Indemnification

      You agree to defend, indemnify, and hold harmless NADA Build and its founders, employees, and licensors from any claims, damages, losses, and reasonable costs (including legal fees) arising out of your misuse of the Services, your content, or your breach of these Terms or of applicable law, except to the extent the claim is caused by our own wrongdoing.

      14. Suspension & termination

      You can stop using the Services at any time, and cancel a paid plan as described in section 7. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. Where practical and lawful, we will give notice and a chance to fix the problem first.

      On termination, the licence in section 3 ends and you must stop using the proprietary parts of the IDE. Open-source components remain yours to use under their own licences. The sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, survive termination.

      15. Governing law

      These Terms are governed by the laws of [TO CONFIRM: governing-law jurisdiction], without regard to its conflict-of-laws rules. You and we agree that any dispute that cannot be resolved informally will be subject to the [TO CONFIRM: courts / arbitration forum and venue], except where mandatory local consumer-protection law gives you the right to bring a claim where you live. To resolve an issue directly, email chris@nadalang.org first.

      16. Changes to these terms

      We may update these Terms as the product and the law change. When we do, we will change the “Last updated” date at the top, and for material changes we will give reasonable notice, for example in the app, by email, or on this page. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Services and, if you wish, cancel your plan.
